Terms of Sale

1. Scope

These terms apply to all quotations, order confirmations and sales of products by Shenzhen Wintel Digital Technology Limited (“WINTEL”, “we”, “us”) unless a separate written agreement signed by both parties states otherwise. A buyer’s purchase order is accepted only when we confirm it in writing.

2. Quotations

Quotations are based on the specification, quantity, delivery term and destination stated in the request. A quotation is valid for the period stated on it; if no period is stated, it is valid for 30 days. Changes to specification, quantity or delivery term may change the price and lead time.

3. Orders and specifications

The agreed specification — product type, capacity, speed class, interface, branding, packaging and quantity — is the specification set out in the order confirmation. Where a sample is approved, the approved sample and the written specification together define the acceptance criteria. Buyers are responsible for confirming that the product and its packaging meet their own regulatory and labelling requirements for the destination market.

4. Payment

Unless otherwise agreed in writing, payment is . We may suspend production or shipment if payment is not received when due. Bank charges and currency-conversion costs are borne by the buyer unless the quotation states otherwise.

5. Delivery and risk

Unless otherwise agreed in writing, delivery is under Incoterms 2020. Risk passes as stated in the agreed Incoterm. Delivery dates are estimates based on the information available when the order is confirmed; delays caused by force majeure, carrier disruption or buyer-side requirements are not a breach.

6. Inspection and claims

The buyer should inspect the goods promptly on receipt. Claims for short delivery, visible damage or non-conformity should be notified in writing within 7 days of receipt, with photographs, test data and the relevant carton or batch information. We will investigate and agree a remedy — repair, replacement or credit — based on the agreed specification. Claims raised after that period may not be accepted where the goods have been used or altered.

7. Warranty

Any warranty period, coverage and remedy for your order are set out in the quotation or order confirmation. This section does not create a warranty beyond those documents. The warranty does not cover damage caused by misuse, improper handling, unauthorised repair, or use outside the published product specification.

8. Intellectual property

The buyer is responsible for the artwork, logos, designs and trademarks it supplies and for having the right to use them. We may use the buyer’s artwork only to produce the ordered goods. We retain rights in our own designs, tooling, processes and know-how.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of data or business interruption. Our total liability for a claim is limited to the value of the goods giving rise to the claim. Nothing in these terms limits liability that cannot be limited by applicable law.

10. Force majeure

Neither party is liable for a delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, government action, port or carrier disruption, or shortages of energy or raw materials.

11. Governing law and disputes

These terms are governed by the laws of the People’s Republic of China. The parties will try to resolve any dispute in good faith; if that fails, the dispute will be submitted to the competent court in Shenzhen, China, unless a signed agreement provides otherwise.
